1. Name

3. Objects

The objects of GLEDFO LTD are:

Although we are a new start up company our aim is to advance education for the public benefit by providing access to free educational resources, lessons, and teaching support to children aged 5–11 within the UK who have been excluded from school or are being home taught and also those worldwide who have no schools available and lack access to learning materials, or equipment. At present that is around 61 million children, although some 8 to 13% are in conflict zones. Our later aims are to include pre-school and education for 11 to 16 year olds, together with further education into areas of higher edeucation.

4. Powers

GLEDFO LTD has power to do anything which is calculated to further its objects or is conducive or incidental to doing so. This includes, but is not limited to:

  • Raising funds and applying them to the objects.
  • Receiving grants, donations, and legacies.
  • Acquiring, holding, and disposing of property.
  • Partnering with NGOs, governments, and community organisations globally.
  • Employing staff, engaging volunteers, and commissioning services.
  • Translating, publishing, and distributing educational materials.
  • Purchasing and distributing educational technology (e.g. tablets).

5. Application of Income and Property

  • The income and property of GLEDFO LTD must be applied solely towards promoting its objectives.
  • Trustees may not receive remuneration except as permitted by law and by the Charity Commission guidance once charity status has been obtained, until then we will run as a Not-For-Profit organisation.

6. Membership

GLEDFO LTD is a Not for Profit foundation and has no members other than its three trustees. Registration will be made available to those wishing to use our lessons free of charge, through the introduction of their email address only,  once we become live in early 2026.

7. Company Trustees

  • GLEDFO LTD has one CEO officer who receives no pay for their services.
  • GLEDFO LTD shall have a minimum of 3 trustees.
  • Trustees serve for a term of 3 years and may be reappointed.
  • Trustees must act in the best interests of GLEDFO LTD and avoid conflicts of interest.
  • All present established three trustees are British nationals.
  • Our aim is to have seven trustees in total, 4 males and 3 females, or vis versa.

8. Trustee Meetings & Proceedings

  • Trustees must meet at least 3 times per year.
  • A quorum is 2 trustees, or one third of trustees (whichever is greater).
  • Decisions are made by majority vote; the chair has a casting vote if tied.

9. Delegation of Powers

Trustees may delegate tasks to committees, staff, or volunteers but remain responsible for oversight.

10. Financial Controls & Records

  • Proper accounting records must be kept.
  • Annual accounts must comply with the Charities SORP (Statement of Recommended Practice).
  • GLEDFO LTD shall submit an Annual Return to Companies House.

11. Benefits and Payments to Trustees

Trustees must not benefit personally except where legally permitted (e.g. reimbursement of expenses, professional services on arm’s length terms).

12. Dissolution

If GLEDFO LTD is wound up or dissolved, any assets remaining after the settlement of debts shall be given to another charity with similar charitable purposes, as agreed by the trustees and approved by Companies House.

13. Amendment of Constitution

This constitution may only be amended by resolution of the trustees.

 

Safeguarding & Child Protection Policy (GLEDFO LTD)

1. Policy Statement

Global Education Foundation (GLEDFO LTD) is committed to safeguarding all children aged 5–11 who engage with its programmes. Many of these children lack access to formal schools and may be especially vulnerable. This age range is flexible to allow for expansion of services to a wider range of children.

GLEDFO LTD believes that:

  • All children have the right to learn in a safe environment.
  • Safeguarding is everyone’s responsibility.
  • Child welfare is paramount in all decisions.

2. Purpose

This policy sets out how GLEDFO LTD will:

  • Protect children from harm, abuse, neglect, exploitation, and discrimination.
  • Ensure safe use and distribution of educational tablets and digital materials.
  • Provide clear procedures for responding to concerns.

3. Scope

1. Introduction

Trustees of Global Education Foundation (GLEDFO LTD) are expected to uphold the highest standards of integrity and act in the charity’s best interests at all times.

2. Duties of Trustees

Trustees must:

  • Comply with the Charity Commission’s guidance (CC3: The Essential Trustee) once obtained.
  • Exercise reasonable care, skill, and diligence.
